San Francisco-based artificial intelligence company Anthropic publicly filed its Form S-1 registration statement with the U.S. Securities and Exchange Commission on Monday to list on the Nasdaq under the ticker symbol ANT, NBC Bay Area, The San Francisco Standard, and TechCrunch reported.

The filing positions the five-year-old maker of the Claude family of AI models for what market analysts have described as potentially the largest initial public offering in U.S. history, following a private funding round earlier this year that valued the company at $380 billion.

$16.3 Billion in First-Half Revenue and Narrowing Operating Loss

Anthropic's S-1 prospectus provides the first audited look at the San Francisco company's commercial growth and cost structure during the first six months of 2026:

  • Revenue: $16.3 billion in the first half of 2026, up more than 1,200% from roughly $1.16 billion to $1.2 billion in the first half of 2025.
  • Operating Loss & Gross Margin: Operating losses narrowed to $693 million in the first half of 2026 (down from $2.2 billion in the year-ago period), while gross margins rose to 64%, up from 42% in 2025.
  • Accounting Net Loss: Anthropic recorded a bottom-line net loss of $80.7 billion for the six-month period, driven almost entirely by roughly $80 billion in noncash accounting adjustments on convertible debt and preferred stock warrant liabilities triggered by the rapid rise in the company's private valuation.
  • Enterprise Customer Base: More than 11,900 enterprise customers spend at least $100,000 annually with Anthropic, 1,900 spend more than $1 million per year, and roughly 250 spend more than $10 million per year. In total, 351 Fortune 500 companies use Claude.

Founder LLC Retains 50.1% Voting Control

Under the multi-class share structure detailed in the filing, Anthropic's seven co-founders — CEO Dario Amodei, President Daniela Amodei, Tom Brown, Jack Clark, Jared Kaplan, Sam McCandlish, and Christopher Olah — will collectively control 50.1% of shareholder voting power after the IPO through Class F shares held by an entity called Founder LLC.

The prospectus states that the voting structure, alongside Anthropic's independent Long-Term Benefit Trust, is intended to insulate the public-benefit corporation from short-term market pressures if safety considerations require slowing or pausing deployment of a frontier AI system.

Disclosed April Security Incident and Federal Dispute

In the filing's risk factors, Anthropic also disclosed that on April 2, 2026, it discovered a cybersecurity breach in which an attacker compromised a single employee's machine; the company stated it contained the incident and enhanced internal controls.

The S-1 additionally notes ongoing legal and commercial risks stemming from Anthropic's dispute with the Trump administration and the Pentagon after federal officials designated the company a "supply-chain risk" earlier this year.
